Copyright assignment is the legal transfer of ownership of a copyrighted work from one party (the assignor) to another (the assignee) under Section 19 of the Copyright Act, 1957. The assignment must be in writing and signed by the assignor or their duly authorised agent. Unlike a licence (which grants permission to use the work while the owner retains ownership), an assignment transfers ownership itself — the assignee becomes the new copyright owner with the right to reproduce, distribute, adapt, and licence the work. Section 19 specifies several mandatory requirements for a valid copyright assignment: it must identify the specific rights being assigned (the right of reproduction, the right of adaptation, the right of communication to the public, etc.), it must specify the duration and territorial extent of the assignment (unless it is for the full term of copyright and worldwide), and it must specify the royalty or other consideration payable. Copyright assignment is common in several scenarios: commissioning creative work (a company hiring a designer and needing to own the resulting work), acquiring content through M&A; transactions, restructuring IP ownership within a corporate group, and publishing agreements where the author assigns publication rights to the publisher. For software companies, copyright assignments are critical when engaging freelance developers — without a proper assignment, the developer may retain ownership of the code they created. The assignment deed should be registered with the Copyright Office within six months of execution to be fully effective against third parties.
