RoC Mumbai, operating under the Ministry of Corporate Affairs, has jurisdiction over companies with their registered office in Maharashtra and Goa. All SPICe+, MGT-7/7A, AOC-4 and ADT-1 filings for Maharashtra- and Goa-registered companies are filed before RoC Mumbai through the MCA21 portal.
Stamp duty on MoA and AoA in Maharashtra is governed by Article 10 of the Bombay Stamp Act, 1958 (Maharashtra Act LX of 1958) read with Schedule I. The duty is computed on the authorised share capital as per the slab in Schedule I and is paid at the jurisdictional Sub-Registrar office before SPICe+ filing with RoC Mumbai. The current cap and slabs should be confirmed with the Inspector General of Registration and Controller of Stamps, Maharashtra at the time of incorporation.
Yes. A Brihanmumbai Municipal Corporation trade licence is mandatory for any commercial establishment operating within BMC limits under Sections 309 to 314 of the Mumbai Municipal Corporation Act, 1888 (Bombay Act III of 1888). Applications are filed online through the MCGM citizen services portal at portal.mcgm.gov.in and the licence must be renewed annually.
The Maharashtra Shops and Establishments (Regulation of Employment and Conditions of Service) Act, 2017 (Maharashtra Act XLVII of 2017) replaced the 1947 Act. Establishments with fewer than 10 workers are exempt from registration; establishments with 10 or more workers must file an online intimation on the lms.maharashtra.gov.in portal within 30 days of commencement of business. No registration fee is payable.
Original-side IP suits filed in Maharashtra are heard by the Bombay High Court Commercial Division constituted under the Commercial Courts Act, 2015. Appeals from the Trade Marks Registry (Mumbai) and the Patent Office (Mumbai branch) also lie before the Bombay High Court. The Bombay High Court also hears writ petitions under Article 226 of the Constitution challenging IP office orders.
